Do you want to start a business but don’t know where to start? Take a look at the legal aspects. In order to train and inform entrepreneurs in the country, the Association of s of Mexico (ASEM) published the “Legal manual for entrepreneurs”. The document covers the fundamentals of corporate, labor and intellectual property issues that entrepreneurs need to know from a legal perspective for their businesses to function properly.
This document was developed in collaboration with the Monterrey Free Law School (FLDM) Business Law Center responsible for its content. the Eugenio Garza Lagüera ship Institute (IEEGL) and the Faculty of Humanities and Education (EHE) of Tec de Monterrey, who designed the pedagogical methodology; and the Apolo25 agency, which is responsible for editorial art and design.
According to ASEM, the handbook is intended to be a legal guide for entrepreneurs on issues which they tend to leave behind and which translate into two problems: failure to comply with their legal obligations and ignorance of their rights.
“Although we have formed various alliances to enable workshops and provide legal advice, we recognize the need to supplement these areas with a practical guide that accompanies entrepreneurs through the various phases of their business: from start-up to growth to maturity and even closure. The manual has been developed with a practical approach according to the challenging learning method. At the end of each chapter there is a section of activities that entrepreneurs can use to reflect and analyze their situation in order to make better decisions that are supported by the relevant legal framework.
On a practical level, one of the most appealing aspects is that the manual includes downloadable contract formats that entrepreneurs can use to manage their businesses.
“We are working together on the development of the manual precisely because we recognize that the legal aspect of the business is often overwhelming for the entrepreneur. While we are not attempting to replace the provision of legal services, we hope that this document will guide the entrepreneur in complying with their legal obligations and protecting their rights in order to maximize the value of their efforts, ”said Bernardo Jaime, Director of FLDM Business Law Center.

The content of the manual, which is updated annually, focuses on four key aspects for any company:
1. Legal establishment of a company
The first step to formally starting a business is to have it incorporated. In the legal manual for the entrepreneur you will find, among other things, the legal requirements for setting up a company, the legally recognized types of companies, their advantages and their constitutional process.

2. Protection of the rights of the entrepreneur

It also explains the different legally recognized types of redundancies, in which cases they can be used and, if applicable, the procedure for their implementation.
4. Dissolution and liquidation of the business
Not all businesses are successful, and in some cases they may close. For this reason, it is important to know the legal process for dissolving and liquidating companies, as well as understanding what they are and who is responsible for carrying out the liquidation. The manual provides the basics and the different procedures for performing a billing.
To help the majority of entrepreneurs in the country, the manual has been developed in digital format and is freely accessible. It is now available in the ASEM site library.
A series of digital workshops will be held to accompany the manual, moderated by the Monterrey Free Law School. The dates of these activities will be published on the association’s website.
